End User Licence Agreement

1. Parties

This End User Licence Agreement ("Agreement") is between you ("User" or "you") and Nian Shou Apps ("Licensor", "we", "us"), the developer of Task Path (the "App"). Apple Inc. is not a party to this Agreement.

2. Licence Grant

Subject to the terms of this Agreement, Nian Shou Apps grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on any iPhone or Mac that you own or control, solely for your personal, non-commercial purposes.

3. Restrictions

You may not:

• Copy, modify, adapt, translate, or create derivative works of the App;
• Reverse-engineer, disassemble, decompile, or otherwise attempt to derive the source code of the App, except to the extent permitted by applicable law;
• Sublicence, sell, resell, transfer, assign, or otherwise commercially exploit the App;
• Remove or alter any proprietary notices, labels, or marks on the App;
• Use the App in any manner that violates applicable laws or regulations.

4. Intellectual Property

The App, including all content, features, code, graphics, and trade dress, is owned by Nian Shou Apps and protected by Singapore and international intellectual property laws. This Agreement does not transfer any ownership rights to you. Your task data remains your own.

5. Subscriptions and In-App Purchases

Task Path offers optional premium features through auto-renewable subscriptions, purchased and processed entirely through Apple's App Store using the StoreKit framework. By purchasing a subscription, you also agree to Apple's Media Services Terms and Conditions, which govern billing, auto-renewal, and payment processing.

Subscriptions automatically renew for the same duration and price unless cancelled at least 24 hours before the end of the current billing period. You may view, manage, or cancel your subscription at any time via Settings → [Your Name] → Subscriptions on your device, or through your Apple ID account settings.

Nian Shou Apps does not process payments, store payment information, or have the ability to issue refunds. Refund requests must be directed to Apple via reportaproblem.apple.com.

6. iCloud and Third-Party Services

Use of CloudKit sync and EventKit integration is subject to Apple's terms of service. Nian Shou Apps is not responsible for the availability, accuracy, or security of Apple's services.

7. Updates and Changes

Nian Shou Apps may, at its discretion, issue updates to the App via the App Store. Updates may add, remove, or modify features. Continued use of the App after an update constitutes acceptance of any revised terms accompanying that update.

8. Termination

This licence is effective until terminated. Your rights under this Agreement will terminate automatically and without notice if you fail to comply with any of its terms. Upon termination you must cease all use of the App and delete all copies in your possession.

9. Disclaimer of Warranties

The App is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Nian Shou Apps does not warrant that the App will meet your requirements or that any errors will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties. If you are a consumer in such a jurisdiction, the above exclusion may not fully apply to you.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Nian Shou Apps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of data, arising out of or in connection with your use of or inability to use the App, even if advised of the possibility of such damages.

In no event shall Nian Shou Apps's total liability to you exceed the amount you paid for the App in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Nian Shou Apps from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the App in violation of this Agreement or applicable law.

12. Maintenance and Support

Nian Shou Apps is solely responsible for providing maintenance and support services for the App, as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

13. Product Claims

Nian Shou Apps, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) claims that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

14. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Singapore.

15. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

This Agreement, together with Apple's App Store End User Licence Agreement and the App's Privacy Policy, constitutes the entire agreement between you and Nian Shou Apps with respect to the App, and supersedes all prior understandings.
